Terms of Service 

1. Eligibility and User Accounts 
 
1.1 Eligibility 

You represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. 

 

1.2 Account Responsibility 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Linker Vision is not responsible for any unauthorized access to or use of your account. 

 

1.3 Account Suspension or Termination 

We reserve the right to suspend or terminate your access to the Services if you violate these Terms or use the Services in a manner that may cause harm to Linker Vision, other users, or third parties. Upon termination, Sections 2 (Intellectual Property), 5 (Disclaimer of Warranties), 6 (Confidentiality), and 7 (Limitation of Liability) shall survive. 

 

2. Intellectual Property Rights 

 

2.1 Ownership 

All rights, title, and interest in and to the Services, including all software, algorithms, models, documentation, trademarks, and other intellectual property, are and shall remain the exclusive property of Linker Vision or its licensors. 

 
2.2 License to Use 

Subject to these Terms, Linker Vision grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for your internal business purposes and in accordance with the applicable documentation. 

  

You may not use the Services to provide services to third parties, including on a service bureau, hosting, or managed services basis, except as expressly permitted under a separate written agreement with Linker Vision. 

 

2.3 User Content 

You retain ownership of any data, images, or content you submit to the Services ("User Content"). You grant Linker Vision a limited license to use such User Content solely for the purpose of providing and improving the Services. 

 

3. Acceptable Use 

 

You agree not to: 

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, or algorithms of the Services; 

  • Use the Services for any unlawful, infringing, fraudulent, or malicious purpose;  

  • Upload, transmit, or introduce malware, malicious code, or any content that violates applicable laws or regulations; 

  • Circumvent, disable, or interfere with security-related features or usage limitations of the Services; 

  • Interfere with or disrupt the integrity, performance, or availability of the Services or related systems; 

  • Use the Services to perform public benchmarking, comparative analysis, or performance testing without Linker Vision’s prior written consent. 

 

4. Fees and Payment 

 

4.1 Fees 

Certain Services may be subject to fees as agreed upon in a separate written agreement or order form. 

 

4.2 Payment Terms 

Unless otherwise stated, all fees are non-refundable. Failure to make timely payments may result in suspension or termination of access to the Services. 

 

5. Disclaimer of Warranties 

 

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Linker Vision disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.  

 

The Services may enable access to, integration with, or use of third-party data sources, content, systems, or services. Linker Vision does not control and makes no representations or warranties regarding such third-party data, content, or services, and disclaims all liability arising from their accuracy, availability, legality, or use. 

 

The Services may generate outputs, including synthetic data or other AI-generated content, using automated or AI-driven processes. Such outputs may be used as part of training, testing, or deployment workflows; however, Linker Vision makes no representations or warranties regarding the accuracy, completeness, legality, or suitability of any such outputs for a particular use. You are solely responsible for reviewing and validating any AI-generated or synthetic outputs prior to use or distribution. 

 

6. Confidentiality 

 

Each party may receive non-public information from the other party in connection with the Services (“Confidential Information”). The receiving party agrees to use such Confidential Information solely for purposes related to the Services and not to disclose it to any third party without the disclosing party’s prior written consent, except as required by law or to its employees or advisors who have a need to know and are bound by confidentiality obligations. 

 

7. Limitation of Liability 

 

To the maximum extent permitted by law, Linker Vision shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Linker Vision’s total liability arising out of or relating to the Services shall not exceed the fees paid by you to Linker Vision for the Services in the twelve (12) months preceding the claim. 

 

8. Governing Law 

 

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Taiwan. 

 

9. Modifications 

 

We may update these Terms from time to time. Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
